Merchant Agreement

This Merchant Agreement ("Agreement") governs your participation as a seller on the AfriKDP Marketplace — the section of the platform covering video courses, templates & software, images & graphics, audio & music, and freelance/escrow services. It is separate from the Author Agreement that governs book publishing. You may hold both agreements at once on a single AfriKDP account; each is signed and verified independently, and one does not substitute for the other.
1. Scope of This Agreement
By signing this Agreement, you become a verified Marketplace Seller, permitted to list eligible digital products and services for sale on afrikdp.com/marketplace.html and to accept paid freelance engagements through the platform's escrow system. This Agreement applies to every Marketplace listing and every freelance gig on your account, current and future, unless replaced by a later signed version.
2. The 70/30 Revenue Split
For every paid transaction on the Marketplace — a listing sale, a tiered product purchase, or a completed freelance escrow gig — revenue is divided as follows:
- Creator Share (70%): You keep seventy percent of the final sale price.
- Platform Fee (30%): AfriKDP retains thirty percent. This covers payment processing, escrow protection on freelance gigs, dispute handling and resolution, hosting for larger file formats (video, audio, software packages), and platform maintenance.
This split is distinct from the 85/15 split that applies to book sales under the Author Agreement. Signing this Agreement does not change the royalty on any book you have published or will publish.
3. Eligible Listings
You may list original work you own the rights to, in the following categories: video courses, templates and software, images and graphics, audio and music, and freelance services. AfriKDP reserves the right to remove any listing that violates the Copyright Policy, misrepresents its contents, or falls outside supported categories.
4. Freelance & Escrow Services
Freelance engagements booked through AfriKDP use the platform's escrow system: a buyer's payment is held until the agreed work is delivered and approved, then released to your wallet under the 70/30 split above. Funds may also auto-release after the review window closes without objection. You are responsible for delivering work that matches what was agreed with the buyer before the engagement began.
5. Identity Verification (KYC)
Marketplace withdrawals are subject to the same identity verification requirements as book royalties, in compliance with Central Bank of Nigeria (CBN) and Anti-Money Laundering (AML) regulations. 6. Content & Conduct Standards
As a Marketplace Seller, you agree to:
- Upload only original work, or work you hold verifiable rights to distribute
- Provide accurate descriptions, previews, and pricing for every listing
- Respond to buyer disputes and support requests in good faith
- Deliver freelance work matching the terms agreed at the start of the engagement
- Comply with the platform's Terms of Service, Copyright Policy, and Return & Refund Policy
7. Suspension & Termination
AfriKDP may suspend or terminate Marketplace access for repeated buyer disputes, confirmed copyright infringement, fraudulent listings, or violation of this Agreement. Suspension of Marketplace access does not affect a separately-held Author account or its book listings, and vice versa.
8. Changes to This Agreement
AfriKDP may update this Agreement periodically. Material changes to the revenue split or fee structure will be communicated in advance. Continued use of Marketplace selling privileges after a change takes effect constitutes acceptance of the revised terms.
