Partnership Agreement

This Partnership Agreement ("Agreement") is between you (the "Creator") and AFRISTACK SMART SYSTEM LTD (RC 9646667), operator of AfriKDP ("AfriKDP", "we"). It adds to your Author Agreement and, if you sell on the Marketplace, your Merchant Agreement. Those agreements still apply in full. If you do not sign this Agreement, your books and products are sold only on AfriKDP.

1. What This Agreement Allows

By signing, you allow AfriKDP to offer your published books, and your Marketplace products (not freelance services), through approved distribution partners ("Partners"). Partners may be bookstores, reading apps, websites, libraries, schools and subscription reading services, in Nigeria and other countries. Partners may list your items, sell them to their customers, deliver them, and make them available for reading in their apps or subscription plans, as set out below.

2. License

You grant AfriKDP a non-exclusive, worldwide license, with the right to sub-license to approved Partners, to host, display, market, sell, deliver and make available for reading the books and products covered by this Agreement, together with their cover, title, description, category, language, price, preview and your author or seller name. The license is non-exclusive: you remain free to publish and sell your work anywhere else.

3. Which Items Are Included

All books and Marketplace products you have published on AfriKDP, now and in future, are included while this Agreement is in force. If you want to keep a particular book or product off Partner sites, write to [email protected] or use the Partner switch for that item in My Products when it is available, and we will exclude it. Books that are free on AfriKDP may be offered free through Partners.

4. Approved Partners Only

• AfriKDP works only with Partners who sign a written agreement with us.
• Partners must protect your work against copying, for example by showing it in a protected reader instead of handing out the file, and may not pass it to anyone else.
• Partners must respect your copyright and remove an item when we ask.
• We will tell you, by email or on your dashboard, which Partners carry your items.

5. Your Information

Partners receive only the item and its public listing details (cover, title, description, category, language, price, preview) and your public author or seller name. Partners never receive your identity documents, bank details, phone number or email address.

6. Price

You keep setting your price on AfriKDP. Partners may show it in their local currency, and may run their own discounts or include your item in their subscription plans; that does not change the price you set on AfriKDP.

7. Your Earnings

• Partner sales. A Partner keeps its own share of each sale. Of the money AfriKDP actually receives from the Partner for your item ("net receipts"), you receive 85% on books and 70% on Marketplace products; AfriKDP keeps the rest. These are the same splits as direct sales on AfriKDP.
• Example. A reader pays ₦2,000 for your book at a Partner that keeps 30%. AfriKDP receives ₦1,400 and you receive ₦1,190.
• Subscription reading at a Partner. Where a Partner includes your book in a subscription plan, you are paid for pages read there at the AfriKDP Reads page rate, or at a rate AfriKDP publishes for that Partner before the reading takes place, out of net receipts from that Partner.

8. Reports and Payment

Partner earnings appear on your dashboard when the Partner reports them, and move into your AfriKDP wallet once we have received the money from the Partner (Partners usually pay monthly). After that they are withdrawn like any other earnings, under the Royalty & Withdrawal Policy and the KYC Policy. Sales a Partner refunds or reverses are cancelled, and sales or reading we find to be fraudulent are held or voided.

9. Leaving or Removing an Item

You can end this Agreement at any time by writing to [email protected] or, when available, from your dashboard. When you end it, exclude an item, unpublish or delete an item, or we remove it under the Author or Merchant Agreement, we tell the Partners to stop offering it. Partners stop new sales within 30 days. Readers who already bought it there may keep the access they paid for. Earnings already made are still paid to you.

10. Your Rights

Your copyright and all other rights in your work stay yours. Your promises in the Author and Merchant Agreements (that the work is yours, or that you have the right to distribute it, and that it breaks no law) also cover distribution through Partners.

11. Changes

We will tell you about any material change to this Agreement, such as a change to your share, by email or on your dashboard at least 30 days before it takes effect. If you do not accept it, you may end this Agreement before then.
