1. Introduction
Welcome to Afri KDP (“AFRIKDP”, “we”, “our”, “platform”). Afri KDP is a unified digital ecosystem that enables authors to publish and sell digital content, and connects buyers with independent freelance professionals for publishing-related services.
By accessing or using the platform as an Author, Buyer, Affiliate, or Freelancer, you agree to these Terms & Conditions. If you do not agree, you must not use the platform.
2. Eligibility
To use Afri KDP, you must:
- Be at least 18 years old, or have legal parental/guardian consent
- Provide accurate registration and identity information
- Not be restricted under applicable laws from using financial or digital marketplace services
We reserve the right to restrict or terminate access where eligibility requirements are not met.
3. Platform Role (Marketplace & Escrow Agent)
Afri KDP operates as a digital marketplace and secure escrow facilitator.
- For Books: Authors are independent publishers. We provide the infrastructure for hosting, distribution, and payment processing.
- For Services: Freelancers are independent contractors, not employees of Afri KDP. We provide the matchmaking, chat workspace, and escrow payment security to facilitate transactions between Buyers and Freelancers.
4. Freelance Marketplace & Escrow System
To protect both parties, all freelance services must be transacted through the Afri KDP Escrow System.
- Funding: Before a freelancer begins work, the Buyer must fund the project. The funds are held securely in Afri KDP Escrow.
- Fees: Afri KDP charges a 5% escrow processing fee to the Buyer upon funding. Upon successful completion, a 15% platform fee is deducted from the Freelancer's total payout.
- Delivery & Approval: When the Freelancer submits the final deliverables, the Buyer has 72 hours to review the work, request revisions, or approve the delivery.
- Auto-Release: If the Buyer does not take action (approve, request revision, or dispute) within the 72-hour review window, Afri KDP will automatically release the escrowed funds to the Freelancer's wallet.
5. Freelancer & Buyer Obligations
Freelancers agree to:
- Deliver the exact scope of work advertised in their service listing or custom offer.
- Communicate professionally and exclusively within the Afri KDP Workspace.
- Relinquish all intellectual property rights for the delivered custom work to the Buyer only after the escrow funds have been successfully cleared and released.
Buyers agree to:
- Provide clear, detailed project requirements immediately after funding the escrow to initiate the project timeline.
- Review delivered files promptly within the 72-hour window.
- Not use, distribute, or claim ownership of any delivered files, concepts, or drafts if a contract is canceled or refunded.
Off-Platform Circumvention: Attempting to move payments or communications off the Afri KDP platform to avoid fees is strictly prohibited and will result in immediate and permanent account termination for both parties.
6. Author Content & Licensing
Authors retain full ownership of their intellectual property.
By uploading content (books, templates, etc.), authors grant Afri KDP a non-exclusive, worldwide, royalty-based license to host, display, market, and distribute the digital files to buyers. This license remains active only while the content is published on Afri KDP.
7. Prohibited Content & Services
The following are strictly prohibited across the entire platform (Books and Freelance Gigs):
- Copyright-infringing or plagiarized works
- Illegal content under applicable laws
- Fraudulent, misleading, or "get-rich-quick" schemes
- Defamatory or harmful content
- Malware or malicious files
- Academic cheating or writing academic essays/dissertations for students
Violation may result in immediate suspension or permanent removal.
8. Pricing, Sales & Payment Model
Afri KDP supports multiple pricing models for digital products:
- Fixed price sales
- Free downloads
- Pay What You Want (PWYW)
All payments are processed securely through third-party payment providers (including Paystack and others).
Afri KDP may:
- Convert currencies for display and settlement purposes
- Apply platform fees as disclosed in the system
- Update pricing rules with notice
9. Royalties, Affiliate Income & Earnings
Earnings are distributed as follows:
- Authors: Earn 85% royalties on direct book sales.
- Affiliates: Earn a 35% commission on book sales generated via their unique tracking links (deducted from the author's gross sale).
- Freelancers: Keep 85% of their completed escrow contract value.
All payouts are calculated automatically based on system logs and credited to internal wallets. Afri KDP reserves the right to update revenue structures, provided users are notified through the platform.
10. Affiliate & Split Payments
The platform may support:
- Affiliate referrals
- Revenue sharing between co-authors
- Promotional commissions

11. Wallet & Payouts
Users may accumulate earnings in their Afri KDP wallet.
Payout rules:
- Withdrawals can be routed to Local Bank Accounts, Mobile Money (MoMo), or Cryptocurrency Wallets.
- Withdrawals are subject to minimum thresholds.
- Identity verification (KYC such as BVN/NIN/ID) is required before withdrawals are enabled to prevent money laundering.
- Bank account verification is required for payouts.
- Withdrawals are typically processed within 1–3 business days.
We reserve the right to delay or withhold payouts in cases of suspected fraud, dispute, or policy violations.
12. Digital Delivery Policy
All purchases are fulfilled digitally via:
- Secure download links
- Email delivery
- Cloud-hosted access systems
A transaction is considered completed once:
- Payment is confirmed via payment gateway
- Download link is generated
- Delivery logs are recorded
13. Refund Policy
A. Digital Goods (Books & Bundles)
Due to the digital nature of all products sold on the Platform, all sales are generally final and non-refundable once the digital file has been accessed or downloaded.
Exceptions may be granted at the sole discretion of Afri KDP in the event of:
- A demonstrably fraudulent or misrepresented listing.
- Technical failures preventing access (e.g., failed delivery, duplicate charge).
B. Freelance Services
If a Buyer is unsatisfied with delivered work, they must request a revision. If the issue cannot be resolved, either party may raise a Dispute. Upon dispute, escrow funds are frozen and the Afri KDP Admin Mediation Team will review chat logs, requirements, and delivered files to make a binding, final decision on whether to refund the buyer or release funds to the freelancer.
Chargebacks initiated through financial institutions without prior mediation may result in immediate account review or access restrictions.
14. Disputes & Chargebacks
Afri KDP maintains detailed system logs including:
- Payment confirmation records
- Download access logs
- Delivery timestamps
- Chat and communication history within the Workroom
- IP and transaction metadata
These logs are used to resolve disputes and protect both creators, freelancers, and buyers.
15. Platform Availability
Afri KDP does not guarantee uninterrupted service.
The platform may experience:
- Maintenance downtime
- Updates and upgrades
- Temporary service interruptions
We are not liable for losses caused by system downtime.
16. User Conduct
Users agree not to:
- Manipulate platform systems or ratings.
- Abuse affiliate or payout systems.
- Upload spam or fraudulent content.
- Attempt unauthorized access to accounts or backend systems.
- Exploit pricing, payment, or download mechanisms.
Violations may lead to permanent bans.
17. Account Termination
Afri KDP may suspend or terminate accounts involved in:
- Fraud or payment abuse
- Copyright violations
- Illegal activity
- System manipulation
- Repeated policy violations
Termination may include removal of content and withholding of pending payouts where necessary. Any wallet balance at the time of suspension for policy violations may be forfeited.
18. Intellectual Property (Platform Rights)
All platform elements including:
- Software
- UI/UX design
- Branding
- Logos
- Codebase
- System architecture
remain the exclusive property of Afri KDP and AfriStack Smart System Limited.
19. Indemnification
Users agree to indemnify and hold Afri KDP harmless from:
- Claims arising from uploaded content or delivered freelance work.
- Copyright disputes.
- Legal violations caused by user activity.
20. Limitation of Liability
Afri KDP and its parent company AfriStack Smart System Limited shall not be liable for:
- Indirect, incidental, special, or consequential damages.
- Loss of income or business interruption.
- Data loss outside system control.
- Third-party service failures (e.g., payment gateways).
21. Privacy & Data Use
Afri KDP collects:
- Account information
- Transaction data
- Payment records
- Download and chat logs
- Email data for delivery and communication
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and process your personal data in accordance with the Nigeria Data Protection Act (NDPA) 2023 and applicable international standards. We do not sell personal data.
Data is used strictly for:
- Platform operation
- Security monitoring and dispute resolution
- Payment processing
- User communication
22. Security Systems
The platform uses:
- Secure authentication (JWT)
- Password hashing (bcrypt)
- Cloudflare security layers
- Secure file storage (R2 or equivalent)
- Payment gateway verification systems
These systems are designed to protect both creators, freelancers, and buyers.
23. Modifications to Terms
Afri KDP reserves the right to update these Terms at any time. Continued use of the platform after updates constitutes acceptance of revised terms. We will notify users of material changes via email.
24. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
